1. Introduction

Welcome to TheMarket Robo Commissioner Program. These Commissioner Terms of Service ("Commissioner Terms") govern your participation as a commissioner (affiliate/referrer) with TMKR Global, LLC ("Company," "we," "us," or "our"). As a commissioner, you earn commissions by referring new customers to our platform.

These Commissioner Terms are in addition to our general Terms of Service. By registering as a commissioner, you agree to be bound by both these Commissioner Terms and the general Terms of Service.

2. Acceptance of Terms

By creating a commissioner account, generating referral links, or engaging in any referral activity through our platform, you acknowledge that you have read, understood, and agree to be bound by these Commissioner Terms.

3.1 Account Registration

You must register for a commissioner account with accurate and complete information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.

3.2 Tracking Codes

Upon approval, you will receive unique tracking codes and referral links. These tracking codes are used to attribute customer referrals to your account. You must use only your assigned tracking codes and must not modify or tamper with the tracking system.

3.3 Account Information

You must keep your account information current and accurate, including your payment details and tax information. Failure to maintain accurate information may result in delayed payments or account suspension.

4. Referral Program Terms

4.1 How Referrals Work

When a new customer registers on our platform using your referral link or tracking code and subsequently makes a qualifying purchase, you earn a commission on that sale. Referral attribution is tracked through cookies and unique tracking codes. The attribution window and cookie duration may vary and are displayed in your commissioner dashboard.

4.2 Qualifying Purchases

Commissions are earned on qualifying purchases only. A qualifying purchase is a completed sale where payment has been successfully processed and the order status is "completed." Refunds, chargebacks, or cancelled orders do not qualify for commissions and any previously credited commission will be reversed.

4.3 Self-Referrals

Self-referrals (referring yourself or purchasing through your own referral link) are strictly prohibited and will not earn commissions. Any detected self-referrals will result in commission reversal and may lead to account termination.

5. Commission Calculation and Payment

Commission Details

Commission rates, payment schedules, and minimum payout thresholds are displayed in your commissioner dashboard. These terms may be updated with prior notice.

5.1 Commission Rates

Commission rates are a percentage of the net sale amount (after payment processing fees). The specific rate is displayed in your commissioner dashboard and may vary by product category or promotional period. We reserve the right to modify commission rates with at least 30 days' notice.

5.2 Payment Schedule

Commissioner payouts are processed monthly. Earned commissions are available for payout after a holding period (typically 30 days from the qualifying sale) to account for potential chargebacks or refunds. Payouts are subject to minimum threshold requirements.

5.3 Tax Obligations

You are solely responsible for all tax obligations arising from your commissioner earnings. You must provide accurate tax information when requested. We may report your earnings to relevant tax authorities as required by law. Commission payments are gross amounts; any applicable taxes are your responsibility.

You must clearly disclose your affiliate/commissioner relationship with TheMarket Robo in all promotional content. This disclosure must be conspicuous and comply with FTC guidelines, EU regulations, and any other applicable advertising disclosure laws in your jurisdiction.

All promotional content must be truthful and not misleading. You must not make false claims about product performance, guaranteed profits, or trading outcomes. You must include appropriate risk disclaimers when promoting trading-related products.

You may use TheMarket Robo name, logo, and marketing materials solely for the purpose of promoting our platform as a commissioner. You must use only approved marketing materials and follow our brand guidelines. You must not modify our logos, create derivative works, or use our branding in a way that suggests endorsement, partnership, or affiliation beyond the commissioner relationship.

9. Liability and Disclaimers

**THE COMMISSIONER PROGRAM IS PROVIDED ON AN "AS IS" BASIS.** We make no warranties regarding commission earnings, referral conversion rates, or program availability.

We are not responsible for any costs you incur in promoting our platform, including advertising costs, content creation expenses, or any other marketing expenditures. You are solely responsible for your promotional activities and any consequences thereof.

You agree to indemnify and hold harmless TMKR Global, LLC from any claims, damages, or losses arising from your promotional activities, including violations of advertising regulations, misleading claims, or infringement of third-party rights.

10. Account Suspension and Termination

10.1 Suspension

We may suspend your commissioner account at any time if we suspect violations of these Terms, fraudulent activity, or prohibited practices. During suspension, commission accrual and payouts will be paused pending investigation.

10.2 Termination

Either party may terminate the commissioner relationship with 30 days' written notice. We may terminate immediately for cause, including violation of these Terms, fraud, or illegal activity. Upon termination, pending commissions that have cleared the holding period will be paid out; unvested or pending commissions may be forfeited.

11. Modifications to Terms

We reserve the right to modify these Commissioner Terms at any time. Material changes will be communicated via email or the commissioner dashboard with at least 30 days' notice. Your continued participation in the commissioner program after such modifications constitutes acceptance of the updated Terms.

12. Governing Law and Disputes

These Commissioner Terms shall be governed by the laws of Georgia. Any disputes shall be resolved through binding arbitration in Tbilisi, Georgia, unless otherwise required by applicable consumer protection laws in your jurisdiction.
